Welcome to Woodworking Equipments ("we," "our," or "us"). We operate the website located at woodworkingequipments.com (the "Site") and provide related tools, e-commerce features, content, and services (collectively, the "Services").

Please read these Terms and Conditions ("Terms") carefully before accessing or using our Site. By accessing, browsing, or placing an order on the Site, you agree to be bound by these Terms and our integrated Privacy Policy and Returns and Refund Policy. If you do not agree to all of these Terms, you may not access the Site or use any of our Services.

1. Eligibility and Account Registration

  • Age Requirement: By agreeing to these Terms, you represent that you are at least 18 years of age, or the age of majority in your state or province of residence, and are legally capable of entering into binding contracts.

  • Account Security: To access certain features or purchase machinery, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials (username and password) and for restricting access to your computer or device.

  • Accuracy of Information: You agree to provide current, complete, and accurate purchase and account information for all transactions made on our store. We reserve the right to terminate accounts or refuse service at our sole discretion if any information provided is false or misleading.

2. Product Information, Pricing, and Availability

  • Industrial Equipment Specifications: We make every effort to display the colors, technical dimensions, specifications, and images of our woodworking machinery as accurately as possible. However, we cannot guarantee that your device’s display will accurately reflect the exact physical product.

  • Pricing Modifications: Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue any product or service without prior notice.

  • Errors and Omissions: Occasionally there may be information on our Site that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Site is inaccurate at any time without prior notice (including after you have submitted your order).

3. Order Acceptance and Payment

  • Order Rejection: The receipt of an order confirmation does not constitute our acceptance of an order or an offer to sell. We reserve the right, at our sole discretion, to limit the order quantity on any item or to refuse service to any customer.

  • Verification: We may require verification of information, especially for high-value freight equipment or commercial machinery orders, prior to the acceptance and shipment of any order.

  • Payment Processing: All payments must be made through our authorized third-party payment processors via valid credit card, bank transfer, or other approved payment methods. You authorize us to charge your selected payment method for the total amount of your order, including applicable taxes, crates/pallet handling, and shipping fees.

4. Shipping, Freight, and Delivery

  • Fulfillment Logistics: Heavy machinery and large power tools often require specialized freight transport. Shipping and delivery windows provided at checkout are estimates only and cannot be guaranteed.

  • Risk of Loss: All items purchased from our Site are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery of the items to the shipping carrier.

  • Freight Inspection: For heavy machinery freight deliveries, the buyer is strictly responsible for inspecting the delivery crate or pallet for visible damage before signing the carrier’s delivery receipt. Any transit damage must be reported to us within 48 hours.

5. Prohibited Uses of the Site

In addition to other prohibitions set forth in these Terms, you are prohibited from using the Site or its content:

  • For any unlawful purpose or to solicit others to perform or participate in any unlawful acts.

  • To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.

  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others.

  • To upload or transmit viruses, malware, or any other type of malicious code that will or may be used in any way that affects the functionality or operation of the Services or the Internet.

  • To scrape, crawl, spider, or otherwise extract content or automated data from the Site for commercial purposes without explicit permission.

6. Intellectual Property

All content included on this Site—such as text, graphics, logos, button icons, images, technical diagrams, digital downloads, data compilations, and software—is the property of Woodworking Equipments or its content suppliers and is protected by international copyright, trademark, and industrial property laws. The compilation of all content on this Site is our exclusive property.

7. Limitation of Liability and Disclaimer of Warranties

  • As-Is Basis: We do not guarantee, represent, or warrant that your use of our service will be uninterrupted, timely, secure, or error-free. The Site and all products and services delivered to you through the Site are (except as expressly stated by us) provided 'as is' and 'as available' for your use.

  • Industrial Safety Warning: Woodworking machinery and heavy equipment inherently carry operational safety risks. We are not liable for any personal injury, property damage, or mechanical mishaps resulting from the improper setup, misuse, untrained operation, or lack of safety precautions when utilizing equipment purchased from us.

  • Damages Cap: In no case shall Woodworking Equipments, our directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind—including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages—arising from your use of any of the services or any products procured using the service. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Woodworking Equipments and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms, your use or misuse of industrial equipment purchased from us, or your violation of any law or the rights of a third-party.

9. Severability

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. Such determination shall not affect the validity and enforceability of any other remaining provisions.

10. Governing Law

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the jurisdiction where our principal corporate office is located, without regard to conflict of law principles.
